Terms of Service
The agreement between you and Entelligent for use of the Platform.
1. Acceptance of Terms
By accessing or using the web application, APIs, or any related service (collectively, the “Platform”) offered by Entelligent, a sole proprietorship based in California (“Entelligent”, “we”, “us”), you (“User”, “you”) agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the Platform.
Creating an account — by submitting the registration form, or by selecting “Continue with Google”, “Continue with Microsoft”, or any equivalent sign-in button — constitutes your electronic signature and acceptance of these Terms under the U.S. ESIGN Act and similar laws worldwide.
2. Definitions
User Content: documents and other materials you upload, and the messages you send to the Associate assistant. The Platform currently accepts plain-text formats and PDFs only.
Your Private Index: the searchable store built from your uploads. Text extracted from your documents is stored, with numeric embeddings, in a subgraph belonging to your account. Retrieval only ever matches your own documents. Your uploads are not pooled into any shared or community index, and are not used to train or fine-tune AI models.
Knowledge Graph: the shared research graph of companies, people, technologies and sources that the Platform maintains from public and licensed sources. It is distinct from Your Private Index and contains no User Content.
3. Eligibility & Account Registration
- You must be at least 18 years old and able to form a binding contract.
- Accounts may be created with an email address and password, or via Google or Microsoft sign-in. Every route additionally requires a one-time registration key issued by us — the Platform is access-gated and not open to the general public. You must verify your email address before you can sign in, including when you sign in with Google or Microsoft.
- You are responsible for safeguarding your credentials and for notifying us of any unauthorised use. Keep your email address current: password-reset and security notices go to it.
- If you act on behalf of an entity, you warrant that you are authorised to bind that entity.
- Sanctioned & Restricted Territories. You confirm that you are not a resident of, and will not use or access the Platform from, Iran, Russia, China, North Korea, Syria, Cuba, or any other country, territory, or region subject to comprehensive U.S. sanctions or other applicable export prohibitions ("Prohibited Jurisdictions"). Use of the Platform from a Prohibited Jurisdiction is strictly forbidden.
4. Licence to User Content
Reserved. This section is not yet in force: the corresponding section of our current published terms is awaiting drafting by our legal counsel, and we will not assert a licence over your content that has not been written down.
In the meantime, what we actually do with your uploads is limited and is described in section 2 and in section 14 of the Privacy Policy: we store the extracted text and embeddings in order to search them back to you, and we send passages to a language model when that is needed to answer your question. We do not publish your content, make it available to other users, or use it to train models. You retain ownership of your User Content.
5. Deleting Your Content
- Deleting individual uploads: you may delete any uploaded document at any time from the attachment controls in the Associate composer. Deletion is immediate and removes the document together with its extracted text chunks and embeddings.
- Deleting your account: email us and an administrator will delete your account, sessions, settings, conversations, saved prompts and Your Private Index. Deletion is also self-service and immediate from Dashboard → Settings → Security → Account.
- Backups: deleted data may persist in our nightly backups for up to a further 7 days, after which those backups are removed on a rolling basis.
- Records we keep: sign-in attempt logs, support tickets, waitlist and enterprise enquiries, the email address on any change request you submitted, and the email address recorded as provenance against any knowledge-graph change you made or approved, are retained after account deletion for security and legal reasons. Ask us and we will remove them as well.
Where the CPRA, the EU GDPR or a comparable law gives you a right of erasure or portability, we honour it through the manual process described above and in section 7 of the Privacy Policy.
6. Prohibited Conduct (Acceptable-Use Policy)
You agree not to:
- Upload content that is unlawful, defamatory, or infringes third-party intellectual-property rights;
- Upload export-controlled, classified, or ITAR-restricted material;
- Interfere with, disrupt, or reverse-engineer the Platform;
- Bypass, disable, or interfere with any security or bot-detection measure, including CAPTCHA and human-verification challenges, or access the Platform by automated means except where we have expressly permitted it in writing;
- Share, resell or publish your registration key, or use the Platform to provide access to anyone we have not granted it to;
- Use Platform outputs as professional or investment advice to third parties;
- Impersonate others or misrepresent your affiliation;
- Use the Platform in any fraudulent, harmful, or unlawful manner — or to facilitate, promote, or conceal any illegal activity, including money-laundering, sanctions evasion, or the distribution of malicious software.
7. No Professional or Investment Advice
All analyses, summaries, memos and other outputs produced by the Platform are for informational purposes only and do not constitute investment, legal, or other professional advice. Outputs are generated by AI systems from automatically gathered sources; they may be incomplete, out of date or wrong. You must verify any output before relying on it.
8. Intellectual-Property Rights
Entelligent and its licensors retain all intellectual-property rights in the Platform, software, and models (except for User Content). Except as expressly set out in these Terms, no licence is granted by implication.
9. DMCA Notice & Procedure
If you believe content on the Platform infringes your copyright, please send a notice with the elements required by 17 U.S.C. §512(c)(3) to:
DMCA Agent, Entelligent.
Email: support@entelligent.co
Upon receipt of a valid notice we will expeditiously remove or disable the disputed content and, where appropriate, suspend repeat infringers.
10. Disclaimer of Warranties
The Platform is provided “as is” without any warranty — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of information.
11. Limitation of Liability
Entelligent is not liable for any indirect, incidental, special, consequential, or exemplary damages arising from your use of the Platform.
12. Indemnification
You agree to indemnify, defend, and hold harmless Entelligent, its owner and its affiliates — and their respective employees and agents — from and against any and all third-party claims, damages, liabilities, costs, and expenses including reasonable attorneys’ fees and costs of investigation arising out of or related to: (a) your User Content; (b) your breach of these Terms; (c) any illegal or unauthorised use of the Platform by you; or (d) your violation of any law, regulation, or third-party right.
13. Governing Law & Dispute Resolution
These Terms are governed by California law (without conflict-of-law principles). Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association in Santa Clara County, California. You waive any right to class-action proceedings.
14. Modifications
We may update these Terms. Revised Terms take effect when we post them on this page and update the “Last Updated” date below, and your continued use after that date constitutes acceptance. We send account email only (waitlist confirmations, invitations, and account and security notices); we do not email you about changes to these Terms, so please review this page periodically.
15. Termination
We may suspend or terminate your access for breach of these Terms. Upon termination, sections 4, 7-13 and 15 survive.
16. Export Controls & Sanctions
You represent and warrant that:
- You are not located in, organised under the laws of, or ordinarily resident in any Prohibited Jurisdiction as defined in section 3;
- You are not a person or entity on any U.S. or EU denied-party, sanctions, or export-control list; and
- You will not transfer, export, or re-export the Platform or any related technical data in violation of applicable export-control laws.
These are your representations to us. We rely on them rather than screening users automatically, so it is your responsibility to ensure they are accurate.
17. Miscellaneous
These Terms constitute the entire agreement between you and Entelligent. If any provision is held unenforceable, it will be modified to reflect the original intent and the remaining provisions will remain in effect. Entelligent may assign these Terms; you may not.
Sections 18 to 20 are specific to this platform and supplement the sections above.
18. Automated Abuse Protection
Our sign-in, registration, password-reset, verification-link and waitlist forms are protected by Cloudflare Turnstile and Google reCAPTCHA Enterprise. This site is protected by reCAPTCHA. These services analyse request and interaction signals to distinguish human visitors from automated traffic; section 12 of the Privacy Policy sets out what they process and on what legal basis.
We may refuse, throttle, or require additional verification for any request these systems flag, and we may suspend accounts used to evade them. We also apply usage quotas and per-address rate limits; exceeding them returns an error rather than terminating your account.
19. AI Systems and Automated Outputs
You are interacting with an AI system. The Associate assistant is a conversational AI, and research summaries, entity descriptions and investment memos on the Platform are generated or assisted by AI models. Content may be inaccurate, incomplete or fabricated, and must be independently verified — see section 7.
Answering your questions requires sending your message, and passages from documents you have uploaded, to language-model providers. Section 14 of the Privacy Policy lists which providers receive what.
20. Third-Party Data and Attribution
Some of the headquarters locations of entities shown on the Platform — on the globe in the Triangle module and on its preview on the home page — are geocoded with Nominatim from OpenStreetMap data; others come from other sources, such as Wikidata.
Location data © OpenStreetMap contributors, available under the Open Database License (ODbL). See openstreetmap.org/copyright.
